1) Definitions & Core Formula

Goal: Increase Profit per Visitor (PPV).

PPV formula: PPV = (Conversion Rate × AOV × Gross Margin) − Cost per Visitor

  • Conversion Rate (CR): Orders / Sessions.
  • AOV: Average order value (after discounts).
  • Gross Margin: (Revenue − COGS) / Revenue.
  • Cost per Visitor (CPV): Blended acquisition + platform variable costs per session (excludes fixed overhead).

Incremental profit from our work is computed as: (PPVtreatment − PPVcontrol) × eligible visitors.

2) Measurement, Holdout & Timeline

  • Validation holdout: Default 10% control group (or mutually agreed) to verify true lift.
  • Training: Typically ~1 month to explore variants and learn.
  • Validation: Typically ~1 month with holdout to confirm lift and variance.
  • Credit start: Post-validation, revenue credit begins when the winning variant is shipped to production traffic.
  • Eligibility rules: Bots/fraud removed; OOS/disabled items and test-incompatible sessions excluded consistently across arms.

Note: Promotional events, returns/cancellations, taxes & shipping are handled consistently across control and treatment; AOV is net of discounts and returns.

3) Pricing & Share (Performance-Aligned)

  • No retainers. Fixed setup fee per package.
  • Profit share: A % of incremental profit (defined above). Package defaults apply.
  • Optional step-down (recommended): 45% during validation + first 2 months; 35% next 6 months; 25% thereafter (or volume-tiered).
  • Caps/floors: Optional monthly cap and material-change clause (media mix, site taxonomy) to keep incentives aligned.

Exact % follows the package you select; the step-down is available if you prefer de-risking over time.

4) Governance, Auditability & Term

  • Reporting: Weekly dashboard; monthly CFO summary (traffic, CR/AOV/GM/CPV, PPV lift, share computation).
  • Audit rights: Quarterly audit of PPV inputs and calculations (reasonable scope). Neutral third-party tie-breaker for disputes.
  • Term & exit: Default 12-month term; 30-day termination after validation; 14-day post-termination true-up window.
  • Exclusivity: We do not work with your direct competitors in your category during the term.

All data handling and measurement rules are documented and mutually agreed before launch.

5) Data & Privacy

  • PII-safe: We use pseudonymous event data (no raw PII required).
  • Security: Principle of least privilege; access limited to optimization events and metrics required for PPV.
  • Data ownership: You own your customer and transaction data; we retain only derived, aggregated learnings.
  • Compliance: Respect platform terms, cookie consent, and regional privacy regulations.

Implementation: lightweight tag/snippet or server-side events—your choice.
